Jury Finds Publisher of Amsterdam News Diverted Funds

Siding with an angry shareholder in a long-running battle for control of the city's largest weekly newspaper aimed at black readers, a jury in Manhattan has ruled against the longtime publisher of The Amsterdam News, Wilbert A. Tatum. The verdict, reached last week by a jury in State Supreme Court, found that Mr. Tatum had "wrongfully diverted" $1.05 million in corporate money. The decision signaled the beginning of a new phase in Mr. Tatum's 13-year feud with the shareholder, John L. Edmonds; now the court must decide how much money the publisher should return to the company.

Journalist Is Out of a Havana Jail but May Have to Leave Cuba

A Cuban journalist who was held in a Havana prison for six weeks as an enemy of the state has been allowed to go home but must now decide whether to leave Cuba or face up to three years in prison. Rafael Solano, the 44-year old founder of the independent news agency Havana Press, said in a telephone interview today from his home in San Miguel del Padron, near Havana, that on April 8 officials gave him civilian clothes and released him, but they did not drop the charges against him of delinquent association, a term used for subversion.

Report Shows Newsrooms Inching Toward Diversity

Minority employment in the country's newsrooms increased for the 19th year in a row last year, but the increase was small, according to an annual survey by the American Society of Newspaper Editors. The report, released on the first day of the group's convention here, found that the percentage of black, Hispanic, Asian-American and American Indian journalists at the country's 1,490 daily newspapers increased to 11.02 percent last year from 10.91 percent in 1994.

COMPANY NEWS;PRONET TO BUY TELETOUCH COMMUNICATIONS

Pronet Inc., a wireless communications company, said yesterday that it would acquire Teletouch Communications Inc. for common stock worth about $75 million and the assumption of about $91 million in Teletouch debt. Pronet also would buy about $15 million of the company's preferred stock. Shareholders of Teletouch, based in Tyler, Tex., will receive about $5.50 in Pronet stock for each share of stock held. Pronet said the acquisition would create the fourth-largest public paging company in the United States, with about 1.4 million subscribers. Pronet, based in Plano, Tex., plans to manage the Teletouch operations through its Houston and Charlotte, N.C., centers. Pronet stock fell $1, to $27.625, and Teletouch rose 43.8 cents, to $5.125.

COMPANY NEWS;ORACLE AND SUN MICROSYSTEMS TO COOPERATE

The chief executive of the Oracle Corporation, Lawrence J. Ellison, said yesterday that his company and Sun Microsystems Inc. would cooperate on basic design ideas for the software that runs less expensive computers. The companies have been talking about computers that could access the Internet and other data networks but with less processing and memory power than PC's. "We're going to compete, but we're also going to cooperate because the industry is in desperate need of an alternative to the Microsoft monopoly," Mr. Ellison said. Both companies are designing software to perform the basic functions of such machines, which Oracle calls a network computer, or NC. A Sun spokeswoman said she could not confirm the arrangement.

Hellman & Friedman Capital Partners III L.P. said yesterday that it would buy Advanstar Holdings Inc., a publisher of business trade magazines, for $237 million. Advanstar, based in Cleveland, publishes 55 magazines and professional journals for the health care, pharmaceutical, computer, retail and service industries. Its titles include Managed Healthcare, PC Graphics & Video and Hotel & Motel Management. The company also produces trade shows and sells data base, direct-marketing and reference products. Advanstar, which is 49 percent owned by Goldman, Sachs & Company, put itself on the market early this year. Hellman & Friedman, based in San Francisco, is an investment partnership with $1.5 billion in capital.

The Paracelsus Healthcare Corporation, a privately held operator of hospitals and nursing homes, agreed yesterday to buy the Champion Healthcare Corporation, also a hospital owner. Financial terms were not disclosed, but the deal will exchange all of Champion's stock for Paracelsus shares. After the merger, Paracelsus's chairman, Manfred George Krukemeyer, and members of Paracelsus management will own about 60 percent of the company, with Champion Healthcare holders owning the remainder. The new company will trade on the American Stock Exchange. In American Stock Exchange trading yesterday, shares of Champion rose 50 cents, to $11.

COMPANY NEWS;BRENDLE'S SEEKS BANKRUPTCY COURT PROTECTION

Brendle's Inc. said yesterday that it had closed the doors of 18 stores and filed for Chapter 11 bankruptcy protection. Brendle's, known for its jewelry, housewares and gifts, said it would shed some merchandise lines and focus on five categories: party goods, crafts, personal health care, fitness and outdoor products. The Foothill Capital Corporation, the company's secured lender, is providing a $25 million revolving credit line, Brendle's said. The company, based in Elkin, N.C., said its lease liabilities and the investment needed for a reorganization had forced the decision to file for bankruptcy. Brendle's plans to continue to sell jewelry. It sells party goods under the Party Universe name.
