Hershey, which had previously said it was negotiating the purchase, would not disclose the tentative purchase price of Ronzoni, a part of Kraft General Foods, a unit of Philip Morris Companies.

LEAD: Texas Instruments Inc. signed a letter of intent with the Toppan Printing Company of Japan to establish a jointly owned United States company that would acquire and manage Texas Instruments' photomask operation in Dallas. The company said it would receive a cash payment of $19 million and would have a minority interest in the new company.

LEAD: Federal antitrust regulators have cleared the investor Carl C. Icahn to acquire a bigger stake in the USX Corporation, the Pittsburgh-based steel company. In a filing with the Securities and Exchange Commission last month, Mr. Icahn disclosed that he owned nearly 34 million, or 13.26 percent, of USX's outstanding common shares and that he might acquire as much as 25 percent.

LEAD: Mattel Inc., the toy maker, agreed to acquire Corgi Toys Ltd., a British maker of miniature model cars. Terms were not disclosed. It said the transaction is expected to be completed before the end of the year. Mattel said the acquisition fitted with its primary strategy of adding to its strong brands, which include Barbie dolls, Hot Wheels and Disney infant and preschool toys.
