The Duluth News-Tribune ran an article across the top of its front page in September about 50 local men who got together at a nearby resort to discuss ways they could help curb the rising incidence of domestic abuse, murder and fighting in schools here in northern Minnesota. It was a standard news article about a common enough occurrence -- local leaders working for the common good -- except for this: the gathering was organized by The News-Tribune, promoted in its news articles and partly paid for by the paper, and then reported on in its news pages.

Anthea Disney, who aggressively increased revenues when she was editor in chief of TV Guide and who is a longtime protegee of Rupert Murdoch, the man who controls the News Corporation, was named president and chief executive of the company's sputtering HarperCollins publishing unit yesterday. The 49-year-old Ms. Disney, who has no experience in book publishing, will take over the $1.1 billion publishing house that was mentioned as a financial disappointment in a recent News Corporation quarterly report, despite such current best sellers as "Miss America," the book of anecdotes and fulminations by Howard Stern, the provocative radio show host.

Serbian Chief Moves to Suppress Opposition at Home

In the three months since signing the Dayton peace accords, President Slobodan Milosevic has been promoting himself internationally as a guarantor of peace in the Balkans. But inside Serbia, he has been working to suppress political opposition and reassert state control of the economy, diplomats and economists here say. Expectations that Mr. Milosevic, who has kept the red star on the spire of his palace, might encourage market reforms and democratization as have former Communists elsewhere in Central Europe have not materialized, they say.

United States Bankruptcy Judge Tina Brozman threatened yesterday to liquidate the Leslie Fay Companies if it did not file a revised bankruptcy plan by April 17. Judge Brozman said she would consider converting the company's Chapter 11 bankruptcy reorganization case to a Chapter 7 liquidation or simply throw it out of bankruptcy court if the plan was not filed by the deadline. If the case is thrown out of court, creditors would then be free to divide the assets among themselves. The apparel company filed for bankruptcy protection from creditors in April 1993. Since then, Leslie Fay has struggled to reorganize. The most recent obstacle to its emergence from bankruptcy has been its inability to sell Sassco Fashions, its most profitable division.

COMPANY NEWS;RAYTHEON AGREES TO SELL XYPLEX TO WHITTAKER

The Raytheon Company has agreed to sell Xyplex Inc. to the Whittaker Corporation of Simi Valley, Calif., for $117.5 million in cash and stock, the companies said yesterday. Xyplex, which is based in Boxborough, Mass., has 500 employees and makes data communications products for computer networks. Raytheon bought Xyplex in October 1994 for about $171 million, which included about $35 million in Xyplex cash. Xyplex has about $100 million in annual sales. Whittaker has sales of $160 million. Under the agreement, Whittaker is to pay $67.5 million in cash and $50 million in Whittaker stock for the company.

Baxter International Inc. will invest about $80 million in Inhale Therapeutic Systems as part of a drug collaboration between the two companies, Inhale Therapeutic said yesterday. Baxter will initially acquire about 12 percent of Inhale's stock for $20 million, said Robert B. Chess, chief executive of Inhale. Baxter will then provide another $60 million in research financing and milestone payments. It has options to invest an additional $55 million in the company. Shares of Inhale Therapeutic soared $4.50, or 37 percent, to $16.75, yesterday, and shares of Baxter rose $1.125, to $47.125. The pair will initially use Inhale's dry-powder inhaler technology to develop four drugs.

The 3Com Corporation said yesterday that it had agreed to buy the closely held Axon Networks Inc. for $65 million, mostly in cash, to acquire computer network monitoring software and technology. 3Com, based in Santa Clara, Calif., said it would take a fourth-quarter charge of $45 million to $50 million for the acquisition of Axon, based in Newton, Mass. Axon develops software and electronic devices that let computer managers keep track of the performance of sophisticated, company-wide networks from their work stations.
