CHANGES FORCED IN PLAN FOR KEMPER BROKERAGE

The Kemper Corporation of Long Grove, Ill., said yesterday that regulators had forced it to scrap a proposal to spin off common stock in its brokerage unit to shareholders. Under a revised plan Kemper is submitting to the Securities and Exchange Commission, shareholders would receive preferred stock, instead of common, in Kemper's Everen Capital Corporation unit. The new transaction values Everen at about $101 million, about 60 percent of the value at which Kemper carried the brokerage firm on its books at the end of 1994. The lower valuation is forcing the company to take an $18 million charge against its third-quarter earnings. Kemper said the transaction would satisfy conditions of its agreement to be bought by a group led by the Zurich Insurance Company of Switzerland.

HEWLETT-PACKARD COMBINES COMPUTER-RELATED UNITS

The Hewlett-Packard Company has combined its computer-related businesses and promoted Richard Belluzzo, 41, to run them. Mr. Belluzzo has headed the division responsible for printers and personal computers, and he will now supervise work stations, larger computer systems, consulting and customer-service operations as well. Sales from all units in the new division totaled $19.6 billion in 1994, 78.5 percent of the company's revenue.

CANANDAIGUA LOWERS PRICE FOR GUINNESS UNIT'S ASSETS

The Canandaigua Wine Company said yesterday that after a reassessment, it had negotiated a lower purchase price of $144 million for the rights to 37 United States liquor brands and other assets of a unit of Guinness P.L.C. In March, Canandaigua offered $155 million for the rights to a number of prominent brands of United Distillers Glenmore Inc., a Guinness unit. The agreement had also called for Canandaigua to buy two production facilities and other assets. Canandaigua now has signed a definitive agreement to pay $144 million. Canandaigua's series A shares rose $2.50 yesterday, to a record $47.25, in Nasdaq trading.

EARNINGS WORRIES AGAIN DRIVE DOWN ADOBE SHARES

The shares of Adobe Systems Inc. continued to tumble yesterday, bringing their loss over the last five trading days to more than 20 percent, amid concern that the software company, which is based in Mountain View, Calif., might not meet analysts' earnings forecasts for its fiscal third quarter. The stock slipped $4.625 yesterday, to $49.625, in Nasdaq trading. In the last week the stock has slipped $12 a share. Adobe's third quarter ends today. The consensus forecast among analysts is that the company will earn 52 cents a share in the quarter, up from 29 cents in the corresponding period last year.

PURCHASE OF 60 HOME SAVINGS BRANCHES GETS APPROVAL

The New York State Banking Department has approved Greenpoint Savings Bank's $660 million purchase of 60 Home Savings branches, H. F. Ahmanson and Company, the parent of Home Savings, said yesterday. The deal was announced on May 15. In July, Inner City Press/Community on the Move, a New York City community group, had asked the banking department and the Federal Deposit Insurance Corporation to review the deal, questioning Greenpoint's compliance with the Community Reinvestment Act. Greenpoint is a unit of the Greenpoint Financial Corporation, based in Flushing, Queens. Ahmanson is based in Irwindale, Calif.

The Seagram Company reported yesterday that its earnings from continuing operations nearly doubled in the second quarter, although its net income fell 60 percent, reflecting the sale of its stake in E. I. du Pont de Nemours & Company. The beverage and entertainment company, based in Montreal, also said its operating cash flow rose 44.8 percent, fueled by its purchases this year of MCA Inc. and the Dole Food Company's juice business.
