During the brief vogue for the movie "Indecent Proposal" last year, couples nationwide argued about whether it was right for a woman to sleep with Robert Redford in exchange for a million bucks. My wife and I never resolved this issue -- we wouldn't mind a house in the country, actually -- but since the offer wasn't on our table, we pressed on. Yet until the nasty whispers started spreading, few debated the wisdom of real-life parents who turned over their children to Michael Jackson in exchange for shopping sprees at Toys "R" Us, special Disneyland tours and overnights at Neverland Ranch, a sort of Playboy Mansion for tots. Mr. Jackson, by far a bigger star than Robert Redford, couldn't possibly be up to no good.

AMERICA ONLINE STOCK ADVANCES BY 14%

America Online Inc. shares rose $7.50, or 14 percent, yesterday after the company told Wall Street analysts that computer users were subscribing to the online service faster than was anticipated. The Vienna, Va., company said that at current growth rates, it will have a million subscribers by October instead of December, when analysts had expected the milestone. Currently, America Online has about 600,000 subscribers. The stock closed at $60.75 in Nasdaq trading. America Online provides news, electronic mail services, chat lines and software to subscribers through modem-equipped personal computers.

NEW COMPUTER FILE SERVERS ARE OFFERED

The Hewlett-Packard Company announced a new line of computer file servers yesterday that provide more power for less money than older Hewlett-Packard servers. The new servers -- specialized computers that store files so they can be moved among personal computers on a network -- are Hewlett-Packard's second challenge in two weeks to the Compaq Computer Corporation, which analysts said has the biggest share of the $6 billion global market for servers, about 28 percent. Two weeks ago, Hewlett-Packard announced a product line that included a $5,969 server. Yesterday, it introduced servers priced between $11,750, for a model that connects a group of eight PC's, and $85,000, for one that links up to 100 PC's. Compaq sells two server lines. The Prosignia line is priced between $3,500 and $15,200 and the newer Proliant is priced from $6,000; they have a 28 percent market share. Hewlett shares rose $2.125 yesterday, to $85. Compaq shares closed at $83.75, up $1.625. Both stocks are traded on the New York Stock Exchange.

SUN HEALTHCARE SET TO ACQUIRE MEDIPLEX GROUP

Sun Healthcare Group Inc. has agreed to acquire Mediplex Group Inc. for about $320 million in cash and stock. Mediplex shareholders will receive $11 in cash plus 1.28 shares of Sun Healthcare for each share of Mediplex common stock, amounting to about $32.60 a share for Mediplex holders, based on Sun's close at $16.875 on Thursday. The formula is unchanged from the letter of intent announced on Jan. 4. Closing is anticipated in the second quarter. Sun Healthcare operates 71 long-term care centers with 7,693 licensed beds in 10 states. Its Sundance Rehabilitation Corporation unit provides services to more than 25,000 long-term care beds in 16 states and the Sunscript Pharmacy Corporation serves the long-term-care industry. Mediplex Group, based in Wellesley, Mass., provides health care services at 42 inpatient centers with 5,729 licensed beds in 13 states.

Prudential Insurance Suits

The Prudential Insurance Company of America has been named in three fraud lawsuits that accuse the company of sanctioning misrepresentations of limited partnerships by its brokerage subsidiary. Two of the suits are the first filed by Prudential's insurance policyholders over reported deceptions by Prudential Securities Inc. about the safety and security of its partnerships during the 1980's, a Prudential spokesman, Joseph Vecchione, said.

Soybean prices tumbled, leading other grains lower, as traders said expectations of a better-than-expected crop from Brazil, the world's second-largest producer, could mean reduced demand for United States exports. On other commodity markets, hog and pork belly futures soared on concerns about cold weather. Crude and heating oil fell after production was partly restored at the nation's fourth- largest refinery.

To the Editor: "Where the Sun Never Sets" (editorial, Jan. 22), describing the exhibitions in New York City's museums, is a breath of much-needed fresh air. When out-of-town acquaintances dump on New York, I tell them we have more museums, concert halls and cultural opportunities than any other city in the nation.
