LEAD: British Aerospace P.L.C. said it had bought 5.72 million shares of Ferranti International Signal P.L.C., raising its holding in the troubled British military-electronics company to 1.7 percent. On Tuesday, British Aerospace and Thomson-CSF of France said they were working on a possible rescue of Ferranti and considering the possibility of making a bid.

LEAD: The Southnet Corporation and Fone America Inc., two long-distance telephone companies, agreed to form a joint venture. Southnet, based in Tampa, and Fone America, a Nevada company, plan to consolidate and share switching centers, data-processing services, network facilities and billing services.
