ORION IN DEAL FOR REST OF GUARANTY NATIONAL

The Orion Capital Corporation said yesterday that it agreed to pay about $104 million for the remaining 19 percent of the Guaranty National Corporation, an insurer, that it did not already own. The all-cash offer amounts to $36 a share. Orion Capital's bid replaced an earlier $34-a-share offer that included a mix of $27.20 cash and the rest in stock. That offer is under review by the Securities and Exchange Commission, an Orion Capital spokeswoman said. Guaranty National gives Orion Capital access to the fastest-growing part of auto insurance, covering drivers with high-risk records, fast cars or other traits that keep them from standard coverage.

PILOTS CONTRACT DEAL HELPS NEW PURCHASES

US Airways Group Inc. pilots ratified a new five-year labor contract with the airline yesterday, opening the way for the company to lower costs and proceed with the purchase of new Airbus Industrie planes. The Air Line Pilots Association, which represents 4,800 US Airways pilots, said 84 percent of the pilots voting approved the contract. About 88 percent of the union members voted, a spokesman said. After 18 months of sometimes stormy labor negotiations, the agreement may allow the airline to enter a period of relative labor calm. US Airways shares rose $1.0625, to $46.9375, on the New York Stock Exchange. The airline, based in Arlington, Va., is the nation's fifth largest. It is now expected to confirm the purchase of 120 Airbus Industrie planes.
